Welcome to CampLegal, a cloud-based case management software solution designed for use by U.S. law firms. These Terms of Service ("TOS") govern your access to and use of our website (www.camplegal.com), mobile application and software services, including case management, e-filing, client portals, payment processing and related services (collectively, the "Services"). By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these TOS. If you do not agree, please do not use the Services.

Definitions
- "Camp Legal", "we", "us", or "our" refers to Camp Legal, LLC, a U.S.-based company.
- "User", "you", or "your" refers to the individual or entity using the Services, typically a U.S. immigration law firm or its authorized personnel.

Eligibility
You must be at least 18 years old and have the legal authority to enter into these TOS. By using the Services, you represent that you are a U.S.-based law firm or its authorized representative and meet these requirements.

Subscription and Access
- Subscription: Access to the Services is currently provided on a subscription basis.
- Account: You must create an account with accurate information and maintain the accuracy of that information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
- License: We grant you a non-exclusive, non-transferable, revocable license to use the Services for your internal business purposes, subject to these TOS.
- Electronic Transactions: Your use of the Services may include the ability to enter into agreements and/or to make transactions electronically. You acknowledge that your electronic submissions constitute your agreement and intent to be bound by and to pay for such agreements and transactions. Your agreement and intent to be bound by electronic submissions applies to all records relating to all transactions you enter into relating to the Services, including notices of cancellation, policies, contracts, and applications.

User Responsibilities
- Compliance: You agree to use the Services in compliance with all applicable U.S. laws, including immigration laws and, where applicable, the EU General Data Protection Regulation (GDPR) for EU client data. You agree that your use of texting in connection with the Services will be in compliance with all applicable rules, regulations and laws related to communicating via text (including SMS) and telephony.
- Data Accuracy: You are responsible for the accuracy and legality of all data you input into the Services, including client information (e.g., visa details), user work information, and billing details. You also agree to provide true, accurate, current and complete information about yourself as prompted, and maintain and promptly update registration data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current, or incomplete, or we have reasonable grounds to suspect that such information is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Services (or any portion thereof.
- Consequences: You are responsible for the violation of these TOS by any employee or agent of yours, any other person to whom you have given access to the Services, and any person who gains access to your account as a result of your failure to use reasonable security precautions, to the same extent as if you had committed the violation yourself, even if such violation was not authorized by you. You are responsible to us for any fees arising from the use of the Services by any of these persons, even if that use was not authorized by you.
- Prohibited Conduct: You may not:
- Reverse-engineer, decompile, disassemble, or attempt to derive the source code, object code, underlying structure, algorithms, or functionality of the Services, or otherwise attempt to recreate or replicate the Services.
- Share, disclose, demonstrate, or provide access to the Services, its features, or any proprietary information (e.g., software interfaces, workflows, documentation) to any third party, including competitors, for the purpose of developing, improving, or marketing a competing product or service.
- Use the Services to provide legal advice (the Services are a tool, not a substitute for legal expertise).
- Share your account credentials with unauthorized users.
- Upload any form of malware.
- Except as may be the result of standard search engine or internet browser usage, use, launch, develop or distribute any automated system, including, without limitation, any spider, robot (or "bot"), cheat utility, scraper or offline reader that accesses the Services, or using or launching any unauthorized script or other software.
- Systematically retrieve data or other content to create or compile, directly or indirectly, a collection, compilation, database or directory without written permission from us.
- Make any unauthorized use of the Services, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email, or creating user accounts by automated means or under false pretenses.
- Harass, intimidate or threaten any or our employees or agents engaged in providing any portion of the Services to you.
- Use the Services for illegal purposes, including the violation of client confidentiality.
- You agree to notify us promptly if you become aware of any unauthorized use of our Services via your account or otherwise or any other breach of security involving the Services or your use thereof.

Changes to Services and Pricing
- New Services: We may introduce new features or services, which will be subject to these TOS or additional terms communicated at the time of rollout. You will be notified of new services via email or through the Services.
- Pricing Changes: We may adjust subscription fees with at least 30 days’ notice via email or in-app notification. Pricing changes will apply to future billing cycles, and continued use of the Services constitutes acceptance.
- New Plans: We may introduce new subscription plans, with details available on our website. Existing users may remain on their current plans or opt in to new plans. You will be notified of new plans via email or through the Services.

Payments
- Fees: You agree to pay all applicable subscription and service fees for the Services.
- Billing: We will charge your provided payment method monthly or annually, depending on your plan, through third-party payment processors. You authorize us to charge your payment method for all fees due and agree to comply with the terms of such payment processors.
- Late Payments: We may charge interest on overdue amounts at 1.5% per month or the maximum rate permitted by law. Late payments may result in suspension or termination of your access to the Services.

Confidentiality
- Definition: "Confidential Information" includes the Services’ software, interfaces, workflows, documentation, and any non-public features, functionality, or performance data.
- Obligations: You agree to treat Confidential Information as strictly confidential and not to disclose, demonstrate, or provide access to it to any third party, including competitors, without our prior written consent, except as necessary to use the Services in accordance with these TOS.
- Exceptions: These obligations do not apply to information that you can demonstrate was lawfully obtained from a third party without confidentiality restrictions or developed independently without reference to the Services.
- Survival: Your confidentiality obligations survive termination of these TOS.

Data and Intellectual Property
- Your Data: You retain ownership of all data you input into the Services ("User Data"), including client information, user work details, and billing records. You grant us a non-exclusive, worldwide, royalty-free license to use, store, and process User Data to provide and improve the Services.
- Our Intellectual Property: All software, content, and materials provided through the Services (excluding User Data), including Confidential Information, are owned by us or our licensors and protected by intellectual property laws. You may not copy, modify, distribute, or disclose our materials, including by sharing with competitors or third parties for competitive purposes, without our prior written permission.
- Feedback: Any feedback you provide about the Services may be used by us without restriction or compensation to you.

Data Security
We implement industry-standard security measures to protect User Data, including:
- Encryption in transit (TLS) and at rest (AES-256).
- Role-based access controls to limit data access.
- Regular security audits to address vulnerabilities. You acknowledge that no system is completely secure and are responsible for securing your account and devices.

Third-Party Services
The Services integrate with third-party tools, including LawPay for payment processing, USCIS for e-filing, and others. We are not responsible for the performance, security, or terms of these third-party services. Your use of such services is subject to their respective terms and privacy policies.

Termination
- We may suspend or terminate your access to the Services for:
- Non-payment of fees.
- Violation of these TOS.
- If required by law.
- Effect of Termination: Upon termination, your access to the Services will cease, and we may delete your User Data after 30 days, unless required by law to retain it (e.g., for tax purposes). Upon your request following termination, we will use commercially reasonable efforts to transfer a copy of your User Data to a third party for a fee.

Disclaimers
- No Legal Advice: The Services are a practice management tool and do not provide legal advice, guarantee case outcomes, or ensure the accuracy of e-filing or form templates. You are responsible for your legal work and compliance with immigration laws and all other applicable laws.
- As-Is Basis: The Services are provided "as is" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
- No Guarantee: We do not guarantee the availability, accuracy, or completeness of the Services, including integrations with USCIS or LawPay.

Limitation of Liability
To the maximum extent permitted by law, CampLegal and its affiliates, officers, directors, and employees will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services, including loss of data, profits, or business opportunities. Our total liability will not exceed the fees paid by you in the 12 months prior to the claim.

Indemnification
You agree to indemnify and hold us harmless from any claims, damages, or losses arising from your use of the Services, violation of these TOS, including unauthorized reverse-engineering or disclosure of Confidential Information, or infringement of third-party rights, including claims related to User Data, client confidentiality, or your legal practice.

Governing Law and Dispute Resolution
- Governing Law: These TOS are governed by the laws of the State of Pennsylvania, USA, without regard to conflict of law principles.
- Arbitration: Any disputes arising from these TOS will be resolved through binding arbitration in Philadelphia, Pennsylvania, under the rules of the American Arbitration Association. You waive the right to participate in class actions.
- For disputes not subject to arbitration, you agree to submit to the exclusive jurisdiction of the state and federal courts in Philadelphia, Pennsylvania.
